Terms of Service
The terms governing your access to and use of the Opsian Technologies website. Use of our products and services is governed by separate written agreements.
Acceptance of terms
These Terms of Service (“Terms”) govern your access to and use of the Opsian Technologies website at opsiantechnologies.com and any materials, content, or services made available on it (collectively, the “Site”).
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
Use of Opsian’s products and services (RoomOS, RoomOps, ENTRIX, Opsian AI Agents, and the engagements described under Services) is governed by separate written agreements between you and Opsian, not by these Terms.
About Opsian
The Site is operated by Opsian Technologies LLC, a United States limited liability company (“Opsian,” “we,” “our,” or “us”).
Permitted use
We grant you a limited, non-exclusive, non-transferable, revocable license to access the Site for your personal or internal business informational purposes. You agree not to:
- Copy, modify, or create derivative works of the Site or its content other than as expressly permitted by these Terms.
- Use the Site to compete with Opsian or to develop a substantially similar product or service.
- Reverse engineer, decompile, or attempt to extract the source code of any software made available through the Site.
- Use any automated means to access the Site or collect information from it, except for permitted search-engine indexing.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Site or its underlying infrastructure.
- Use the Site in any manner that violates applicable law.
Intellectual property
The Site and all of its content — including text, design, graphics, logos, photographs, audio, video, software, code, and the selection and arrangement of the foregoing — is owned by Opsian or its licensors and is protected by United States and international intellectual property laws.
The Opsian name, the Opsian logo, and product names (including RoomOS, RoomOps, ENTRIX, and Opsian AI Agents) are trademarks of Opsian Technologies LLC. You may not use them without our prior written permission.
Your submissions
When you submit information to us through the Site — including contact forms, demo requests, or any other communication — you represent that the information is accurate, that you have the right to provide it, and that providing it to us does not violate any obligation you owe to a third party.
You grant Opsian a non-exclusive, royalty-free license to use any such submission in connection with responding to your inquiry and operating, improving, and marketing our products and services, subject to our Privacy Policy.
Third-party links
The Site may contain links to third-party websites or services that are not owned or controlled by Opsian. We are not responsible for the content, policies, or practices of any third-party site, and we recommend you review the terms and privacy policies of any third-party site you visit.
No professional advice
The content on the Site is provided for general informational purposes only and does not constitute legal, financial, compliance, medical, or other professional advice. You should consult an appropriate professional before acting on any information available on the Site.
Forward-looking statements
The Site may contain forward-looking statements about Opsian’s products, services, plans, and strategy. These statements reflect our current expectations and are subject to risks and uncertainties. Actual results may differ materially. We have no obligation to update any forward-looking statement.
Disclaimer of warranties
The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, Opsian disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.
We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the Site is accurate or complete.
Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Opsian or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, business opportunity, or goodwill — arising out of or in connection with your access to or use of the Site, whether based in contract, tort, or any other legal theory, and whether or not Opsian has been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless Opsian and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Site.
Governing law
These Terms are governed by the laws of the United States and the state in which Opsian Technologies LLC is organized, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in that state, and you consent to the personal jurisdiction of those courts.
Changes to the Site or Terms
We may modify or discontinue the Site, or any portion of it, at any time. We may also update these Terms from time to time. The updated Terms will be effective when posted, and the “Last updated” date above will reflect the most recent revision. Your continued use of the Site after we post an update constitutes your acceptance of the updated Terms.
